Termination of a Partner Agreement may be immediate or with notice, depending on the grounds.
Immediate termination — no notice required
Nexthor PPF may terminate a Partner Agreement immediately and without prior notice for any of the following:
- Fraud, deliberate misrepresentation, or falsification of any records, leads, sales, or documentation
- Bribery, corruption, or any unlawful payment in connection with Nexthor business
- Criminal conduct related to the partner's business activities
- Serious or deliberate breach of GDPR or other data protection obligations causing harm to Nexthor PPF or third parties
- Deliberate public damage to Nexthor PPF's reputation, products, or partners
- Active solicitation of Nexthor partners to leave the network for a competing program
- Harassment, discrimination, or abusive conduct toward any person in connection with Nexthor activities
- Any conduct that Nexthor PPF reasonably determines poses an immediate risk to its business, network, or legal standing
Termination with 14 days notice
For less serious grounds, Nexthor PPF will provide 14 days written notice before termination becomes effective. Examples include persistent non-compliance with Policies after written warning, repeated out-of-territory activity, and conduct that is damaging but not immediately serious.
Voluntary termination by the partner
Partners may terminate their partnership voluntarily by providing written notice to Nexthor PPF, subject to the notice periods in the Activity & Lifecycle Policy. Voluntary termination does not affect obligations that survive termination under the Code of Conduct or Partner Agreement.
