Code of Conduct

This Code of Conduct sets the professional and ethical standards expected of every Nexthor partner. It applies to all participants in the Nexthor Partner Network:

• Installer Club members — verified PPF installation studios
• Pilots — active sales representatives
• Scouts — referral partners

By accepting any Nexthor Partner Agreement, you agree to comply with this Code of Conduct at all times during your participation and for the survival period after termination as described in Section 18. Violations are handled under the Conflict Resolution & Enforcement Policy.

Every Nexthor partner operates as an independent contractor — not as an employee, agent, or legal representative of Nexthor PPF or Digital Bug s.r.o. As an independent partner, you agree that:

• You are responsible for your own business operations, expenses, and decisions.
• You are solely responsible for declaring and paying your own taxes, social contributions, and any other obligations in your jurisdiction.
• If you are registered for VAT or become liable for it, you manage your own VAT obligations including issuing valid invoices.
• You maintain any business registration, licences, or permits required for your activities.
• You have no authority to enter into contracts, make commitments, or incur liabilities on behalf of Nexthor PPF unless explicitly authorized in writing.
• You will not represent yourself as an employee of Nexthor PPF or Digital Bug s.r.o.
• Nothing in your partnership creates an employment, joint venture, or franchise relationship.

Partners represent the Nexthor brand and must always act with honesty and integrity. You agree to:

• Represent Nexthor PPF, its products, and its programs truthfully and accurately at all times.
• Never make false, misleading, or exaggerated claims about product performance, durability, warranty coverage, or pricing.
• Never promise outcomes, earnings, or results that are not officially documented by Nexthor PPF.
• Clearly identify yourself as an independent Nexthor partner — not as a Nexthor employee or official representative.
• Never misrepresent your rank, role, territory, or authority within the Nexthor network.

Everyone you interact with in your capacity as a Nexthor partner deserves professional and respectful treatment. You agree to:

• Treat all customers, studios, prospects, and fellow partners with courtesy and professionalism.
• Respond to inquiries in a timely manner.
• Never use high-pressure, deceptive, or manipulative sales tactics.
• Respect the decision of any prospect who declines and never harass or repeatedly contact uninterested parties.
• Honor all commitments you make in connection with Nexthor, or escalate to Nexthor PPF promptly if you are unable to fulfill them.

The integrity of the Nexthor network depends on fair dealing between partners. You agree to:

• Never claim a lead, introduction, or sale that is not genuinely yours.
• Never poach, divert, or interfere with leads, studios, or customers properly associated with another partner. Lead ownership is determined by first documented contact as defined in the Territorial & Authority Rules Policy.
• Submit accurate and truthful information for all leads, introductions, and sales.
• Never create fake leads, fictitious introductions, or fraudulent sales to manipulate commission records.
• Respect the territorial and authority rules applicable to your partner type as defined in the Territorial & Authority Rules Policy.

Nexthor partners may build a network and earn commissions across multiple levels. Because the network rewards both sales and team building, ethical recruiting is essential. You agree to:

• Present the Nexthor opportunity honestly, including the genuine effort and skill required to succeed.
• Make clear that income is earned primarily through the sale of Nexthor products, not merely through recruiting others.
• Never pressure, coerce, or manipulate anyone into joining the network.
• Never require or encourage a recruit to make unnecessary product purchases solely to advance a rank or qualify for commissions.
• Never imply that joining or recruiting guarantees income of any kind.
• Provide prospective partners with access to the official Nexthor Agreements and Policies before they commit to joining.

Partners must be truthful and restrained when discussing potential earnings with prospects or recruits. You agree to:

• Never promise, guarantee, or imply specific income levels, earnings, or financial results.
• Never present your own earnings as typical or as results others can expect to achieve.
• Reference only the official commission structure published in the Nexthor Compensation Plan.
• Make clear that individual results vary and that no income is guaranteed.
• Never use income claims, lifestyle imagery, or success stories in a misleading or unsubstantiated way.

Nexthor PPF does not guarantee any level of income to any partner. Income depends entirely on individual effort, skill, market conditions, and factors outside Nexthor's control.

Partners who recruit and sponsor others take on additional responsibilities toward their downline. If you sponsor other partners, you agree to:

• Make reasonable efforts to support the partners you personally sponsor in understanding Nexthor's products, policies, and standards.
• Communicate Nexthor's Agreements, Policies, and brand standards accurately to your downline.
• Never knowingly allow or encourage a downline partner to violate this Code of Conduct or any Nexthor Policy.
• Act as a positive example of professional and ethical conduct at all times.
• Not profit from the improper or unlawful conduct of partners you sponsor.

Sponsoring a partner does not make you legally liable for their independent actions, but you are expected to act responsibly and report serious violations you become aware of.

To protect the stability of the Nexthor network and the work of every partner, cross-recruiting is prohibited. You agree to:

• Not solicit, entice, or recruit any partner already in another partner's downline into your own downline.
• Not solicit or encourage Nexthor partners to join a competing program or network.
• Not use confidential network information to identify or target other partners for recruiting purposes.
• Not approach studios or prospects that are documented as belonging to another partner's territory or pipeline without Nexthor PPF's prior written consent.

Any transfer of a partner between network positions requires Nexthor PPF's written approval and is handled exclusively by Nexthor PPF.

You must avoid situations where your personal interests conflict with your duties as a Nexthor partner. You agree to:

• Disclose to Nexthor PPF any actual or potential conflict of interest as soon as you become aware of it.
• Not use your Nexthor partnership to benefit a competing business in which you have an interest.
• Comply with any non-compete obligations applicable to your partner type as set out in your Partner Agreement.
• Not solicit other Nexthor partners to leave the network for a competing program.

Nexthor PPF has zero tolerance for bribery and corruption in any form. You agree to:

• Never offer, give, request, or accept any bribe, kickback, or improper payment in connection with Nexthor business.
• Never use Nexthor's name or products to facilitate any unlawful payment or arrangement.
• Comply with all applicable anti-bribery and anti-corruption laws in your jurisdiction.
• Report any suspected bribery or corruption to Nexthor PPF immediately at info@nexthorppf.com.

Nexthor PPF is committed to a professional and respectful network. You agree to:

• Never discriminate against any person on the basis of race, ethnicity, nationality, religion, gender, sexual orientation, age, disability, or any other protected characteristic.
• Never engage in harassment, bullying, intimidation, or abusive behavior toward customers, studios, prospects, or fellow partners in any channel.
• Maintain a professional standard of communication in all interactions — in person, by phone, by email, and on social media.

Partners are trusted representatives of the Nexthor brand. You agree to:

• Never publicly disparage, defame, or make damaging false statements about Nexthor PPF, its products, its management, or other partners.
• Never post fake reviews, fake testimonials, or coordinate negative campaigns against Nexthor PPF, its products, or other partners.
• Raise genuine concerns, disputes, or complaints through the proper internal channels described in the Conflict Resolution & Enforcement Policy rather than through public statements.

This section does not prevent you from making truthful statements, exercising your legal rights, or reporting unlawful conduct to the appropriate authorities.

As a partner, you may have access to confidential business information and personal data. You agree to:

• Keep confidential all non-public information received through your partnership, including pricing, customer and studio data, business strategies, and network information.
• Handle any personal data you collect in the course of your Nexthor activities in compliance with the EU General Data Protection Regulation (GDPR) and applicable national data protection law.
• Never sell, share, or misuse customer or partner data for any purpose outside the Nexthor partnership.
• Return or permanently delete confidential information belonging to Nexthor PPF upon termination of your partnership, except where retention is legally required.

Where you collect and process contacts from your own personal or professional network independently of Nexthor PPF, you act as an independent data controller under GDPR and are solely responsible for your own data protection obligations toward those contacts.

Partners must protect the Nexthor brand and operate within the law at all times. You agree to:

• Use the Nexthor brand, logo, trademarks, and marketing materials only as permitted under the Brand & Marketing Guidelines Policy.
• Comply with all laws and regulations in the jurisdictions where you operate, including consumer protection, advertising standards, data protection, and tax law.
• Maintain all business registrations, licences, and permits required for your activities.
• Never engage in any activity that could damage Nexthor PPF's reputation, expose Nexthor PPF to legal liability, or compromise the integrity of the Nexthor network.

This Code of Conduct operates alongside all other Nexthor Partner Policies. You agree to:

• Comply with your Partner Agreement and all current Nexthor Policies, including the Compensation Plan, Installer Club & Rewards Policy, Activity & Lifecycle Policy, Territorial & Authority Rules Policy, Brand & Marketing Guidelines Policy, Training & Certification Framework, and Conflict Resolution & Enforcement Policy.
• Treat a violation of any Nexthor Policy as a violation of this Code of Conduct.
• Stay informed of any updates to Nexthor Policies, which are communicated by email and published on the Nexthor website. Continued participation constitutes acceptance of the current versions.

If you become aware of a violation of this Code of Conduct — whether by yourself or another partner — you are encouraged to report it promptly. To report a concern, contact Nexthor PPF at info@nexthorppf.com with as much detail as possible, including dates, the parties involved, and any supporting evidence.

Nexthor PPF will treat reports confidentially to the extent reasonably possible. Nexthor PPF will not tolerate retaliation against any partner who reports a concern in good faith. Deliberately false reports made in bad faith may themselves constitute a violation of this Code.

Consequences of violations. Violations are handled under the Conflict Resolution & Enforcement Policy. Consequences range from a formal written warning through to immediate termination without notice, depending on the severity and nature of the violation. Serious violations — including fraud, bribery, deliberate brand damage, harassment, and false income claims — may result in immediate termination without prior warning and forfeiture of pending commissions.

Survival of obligations. The following obligations continue after your partnership ends, for as long as legally enforceable: confidentiality, data protection, non-disparagement, non-solicitation, and any non-compete obligations specified in your Partner Agreement. Nexthor PPF reserves the right to enforce these obligations after termination.

Acceptance. By participating in any Nexthor partner program, you confirm that you have read, understood, and agree to comply with this Code of Conduct in full.
