Nexthor Installer Agreement

Every PPF studio operates on the same problem: the film you put on the car carries your name long after the customer drives away.

The Nexthor Installer Club is built around that fact. Membership gives you a direct supplier relationship, an economy that compounds with the work you actually do, and a brand framework that lets you mark the result as Nexthor without compromise.

This Agreement defines the terms of that membership. The Policies referenced in Section 12 govern the operational detail.

Nexthor PPF is a brand operated by Digital Bug s.r.o., IČO 54330483, with registered office at Okružná 20, 058 01 Poprad, Slovak Republic (hereinafter "Nexthor").

The Installer is the PPF installation studio or individual who has accepted this Agreement through the digital signing process (hereinafter "Installer" or "you").

Together, Nexthor and the Installer are referred to as the "Parties."

The Installer is an independent business operating in its own name and on its own account. Nothing in this Agreement creates or implies an employment relationship, agency, joint venture, franchise, or partnership between the Installer and Nexthor or Digital Bug s.r.o. This Agreement governs a supplier-buyer relationship: Nexthor supplies PPF products; the Installer purchases them. The Installer is not an agent, reseller with territorial exclusivity, or franchisee of Nexthor.

The Installer:

• Operates as an independent contractor solely responsible for all aspects of its own business operations, including staffing, premises, equipment, and customer relationships.
• Has no authority to enter into contracts, make commitments, or incur liabilities on behalf of Nexthor unless explicitly authorized in writing for a specific purpose.
• Is solely responsible for all applicable taxes, VAT, social contributions, and any other obligations under applicable law arising from its business activities and from purchases made under this Agreement.
• Must hold a valid business registration (živnosť, s.r.o., or equivalent IČO) throughout the term of this Agreement. Proof of registration must be provided to Nexthor upon request.
• Confirms it is not listed on any EU or UN sanctions list and will not facilitate transactions involving sanctioned persons or jurisdictions. The Installer complies with all applicable anti-bribery and anti-corruption laws.

Upon acceptance of this Agreement, the Installer becomes a member of the Nexthor Installer Club at the Prospect rank. Membership grants access to:

• Partner pricing on Nexthor PPF products, as communicated upon approval and updated from time to time.
• Cashback on qualifying purchases, at the rate corresponding to the Installer's current rank.
• Rank benefits unlocked upon reaching each rank threshold.
• Milestone rewards at fixed cumulative purchase volumes.
• Scout program rights - automatically upon signing this Agreement, without requiring a separate Scout Agreement. See Section 8.

All Installer Club benefits - including cashback rates, rank thresholds, rank benefits, and milestone rewards - are governed by the Installer Club & Rewards Policy, which forms part of this Agreement by reference. Nexthor may update that Policy from time to time in accordance with the notice requirements stated therein.

Membership is personal to the Installer and may not be transferred, assigned, or shared with any other business entity or individual without Nexthor's prior written consent.

As a new Installer Club member, the Installer is eligible for a one-time Starter Pack on their first qualifying order following approval:

• One paid Color PPF roll (1.52m × 15m, Installer's color choice) at the standard partner price published in the Installer Club & Rewards Policy at the time of order
• One free Transparent PPF roll (1.52m × 15m, matte or glossy, Installer's choice) at no additional charge

The paid Color roll counts as one rank point and as a qualifying purchase for cashback. The free Transparent roll counts as one rank point but does not generate cashback. The Starter Pack is available once per Installer account, on the first order only, and cannot be combined with other promotional offers unless explicitly stated by Nexthor in writing.

Business nature and no consumer withdrawal right

PPF rolls are prepared and dispatched based on the Installer's specifications (color, finish, size). By accepting this Agreement and placing the Starter Pack order, the Installer acknowledges that:

• The Installer is acting in a business capacity and not as a consumer within the meaning of EU Consumer Rights Directive 2011/83/EU or equivalent national consumer protection law.
• The 14-day right of withdrawal under EU Consumer Rights Directive Article 16(c) does not apply, as the products are custom-prepared goods made to the Installer's specifications.
• Where the Installer holds a valid business registration (živnosť, s.r.o., or equivalent IČO), this Agreement is a B2B contract and consumer protection law does not apply.

Returns are limited to unopened products confirmed as defective, in accordance with Nexthor's standard Refund Policy. Full Starter Pack terms are set out in the Installer Club & Rewards Policy.

The Installer may place orders for Nexthor PPF products at any time through the channels provided by Nexthor.

Pricing

Orders are fulfilled at the partner prices applicable to the Installer at the time of order. Current standard partner prices are published in the Installer Club & Rewards Policy and communicated to the Installer upon approval. Nexthor may adjust partner pricing with 30 days' written notice. Orders placed and paid before the effective date of a price change are fulfilled at the prior price.

Nexthor may offer the Installer a special pricing arrangement at its sole discretion. Any such arrangement is agreed in writing. Partner pricing is strictly confidential. The Installer must not disclose partner prices to any third party, including on social media, marketplaces, or to end consumers.

Pricing confidentiality - proportionate enforcement

Breach of pricing confidentiality is a serious violation of this Agreement. Nexthor will assess severity on a case-by-case basis:

• Minor or accidental disclosure (for example, sharing pricing in a private message to a single third party): formal written warning under the Conflict Resolution & Enforcement Policy, with a requirement to remedy the disclosure. Membership and benefits are not immediately affected.
• Material disclosure (for example, publishing partner prices on social media, marketplaces, or sharing with multiple parties): grounds for immediate termination of this Agreement and forfeiture of pending cashback and Scout commissions.
• Systematic or deliberate disclosure (for example, repeated sharing or use of pricing to benefit a competing supplier): immediate termination plus Nexthor's right to claim damages for losses caused by the breach.

Payment terms

All orders must be paid in full before dispatch, unless Nexthor has agreed extended payment terms (such as NET 14 or NET 30) in writing for the Installer.

Late payment

Where Nexthor has granted extended payment terms and the Installer fails to pay by the agreed due date:

• Interest accrues at the statutory rate under Slovak Commercial Code §369 (currently the ECB reference rate plus 8 percentage points per annum) from the due date until full payment is received.
• After 14 days overdue: Nexthor may suspend all further dispatches and freeze cashback and Scout commission payouts until the outstanding balance is cleared.
• After 60 days overdue: Nexthor may terminate this Agreement for material breach under Section 9.
• The Installer is also liable for Nexthor's reasonable debt collection costs.

Purchase freedom

The Installer is free to purchase PPF products from any supplier. This Agreement does not impose any exclusivity, minimum purchase obligation, or volume commitment. Rank progression and cashback are earned only on purchases made through Nexthor.

Product warranty and liability

Nexthor warrants that PPF products supplied under this Agreement conform to the technical specifications published on Nexthor's website at the time of purchase.

• Defective products: In the event of a confirmed manufacturing defect, the Installer's remedy is replacement or refund of the affected roll at Nexthor's discretion.
• Liability cap: Nexthor's total liability to the Installer under this Agreement is limited to the value of products supplied to the Installer in the 12 months preceding the claim.
• Exclusions: This limitation does not exclude liability that cannot be limited under applicable Slovak or EU law, liability for death or personal injury caused by negligence, or liability for fraud or wilful misconduct.
• Installation responsibility: The Installer is solely responsible for installation quality, adherence to Nexthor's installation guidelines, and any damage to customer vehicles caused by installation errors. Nexthor is not liable for installation defects, reinstallation costs, or consequential loss arising from improper installation.

By signing this Agreement, the Installer commits to the following obligations throughout the term of the membership.

Conduct and compliance

• Comply fully with the Code of Conduct, Brand & Marketing Guidelines Policy, Installer Club & Rewards Policy, and Conflict Resolution & Enforcement Policy - all of which form part of this Agreement by reference.
• Use Nexthor's brand, logo, and designations only as permitted under the Brand & Marketing Guidelines Policy and only to the extent that the Installer's current rank and training status entitles them to.
• Not make false, misleading, or exaggerated claims about Nexthor products, including performance, durability, or warranty coverage.
• Not represent itself as an employee, agent, or official spokesperson of Nexthor.

Anti-kickback

The Installer agrees not to offer kickbacks, undisclosed commissions, or improper financial inducements to any end customer, car dealership employee, or third party in connection with the installation or sale of Nexthor products. All discounts or promotional incentives offered to end customers must be transparent and must not involve undisclosed payments to any third party.

Business obligations

• Maintain valid business registration throughout the term of this Agreement.
• Promptly notify Nexthor of any change to business name, registered address, contact information, or bank account details.
• Ensure that any individual performing PPF installations on behalf of the Installer's business operates in accordance with Nexthor's installation standards and guidelines.

Confidentiality

• Keep partner pricing strictly confidential for a period of 3 years following termination of this Agreement.
• Keep any customer leads, customer contact data, or other personal information provided by Nexthor strictly confidential, and use it only for the specific purpose for which it was provided (such as completing a specific installation booking). The Installer must not contact customers introduced by Nexthor for any unrelated purpose without Nexthor's prior written consent.
• Information constituting a trade secret under §17 of the Slovak Commercial Code remains confidential indefinitely or for as long as it retains trade secret status.
• Not use confidential information received through the Installer Club for any purpose other than operating as a Nexthor Installer.

Data protection and GDPR

• Handle all personal data of customers and contacts in compliance with the EU General Data Protection Regulation (GDPR) and applicable national data protection law. The Installer acts as an independent data controller for data it collects in its own business operations.
• Where the Installer handles personal data provided by Nexthor, it acts as a data processor on Nexthor's behalf, must process such data only for authorized purposes, implement appropriate security measures, and notify Nexthor of any personal data breach within 72 hours of becoming aware of it.
• Nexthor may require the Installer to sign a separate Data Processing Agreement (DPA) where required by applicable law.

The Authorized Nexthor Installer designation is separate from and independent of the Installer Club rank system. It is not earned automatically by reaching any rank threshold - it is granted by Nexthor PPF at its sole discretion based on demonstrated installation competence.

Two paths to Authorized status

Nexthor PPF may grant the Authorized designation through either of the following:

• Nexthor PPF Installer Training: Completing the official two-day Nexthor PPF Installer Training program. The cost, format, location, duration, and certification process are set out in the Training & Certification Framework Policy. Upon successful completion, the individual receives a personal Nexthor PPF Installer Certificate and the studio gains the Authorized designation.
• Recognition of existing experience: Nexthor PPF may grant the Authorized designation to a studio that already has demonstrated PPF installation experience - assessed through Nexthor's own review process (which may include an application form, phone or video review, documentation of prior installations, or any other method Nexthor considers appropriate). Nexthor has full discretion to grant, decline, or conditionally grant recognition of experience. There is no automatic entitlement.

What Authorized allows

Studios holding the Authorized designation may use the title "Authorized Nexthor Installer" in their marketing, signage, and communications, in accordance with the Brand & Marketing Guidelines Policy. Studios that are not Authorized may use "Nexthor Installer Club Member" or their earned rank designation (such as "Nexthor Certified Installer") but may not use the word "Authorized".

Maintaining Authorized status

The Authorized designation is tied to the presence of at least one certified or recognized individual actively working at the Installer's studio. If that individual leaves and no other qualified technician is present, the Authorized designation is suspended until a replacement is certified or recognized by Nexthor.

Withdrawal of the Authorized designation

Nexthor reserves the right to withdraw the Authorized designation where installation quality, customer conduct, or policy compliance falls below the expected standard. Before withdrawing the designation, Nexthor will normally:

• Provide written notice identifying the specific concerns;
• Allow the Installer 30 days to remedy the issues or submit a written response;
• Conduct a review, which may include a site visit, documentation review, or call with the Installer.

In cases of serious or wilful violations - including fraud, deliberate brand damage, or customer safety issues - Nexthor may withdraw the Authorized designation immediately without prior notice or remedy period. The Installer may raise a dispute through the Conflict Resolution & Enforcement Policy following any withdrawal decision.

By signing this Agreement, the Installer automatically receives Scout program rights within the Nexthor Partner Network. No separate Scout Agreement is required.

As a Scout, the Installer may:

• Introduce other PPF studios, individuals, or potential partners to Nexthor and earn commissions from their network activity.
• Build a referral network across up to three levels, earning commissions on PPF rolls purchased by studios they introduce and by studios in their downline.
• Invite individuals to join the Nexthor Scout program through Nexthor's official onboarding process. The Installer becomes the upline partner (Level 1 referrer) once Nexthor activates the new Scout.

Scout commission rates

• Level 1: €100 per roll - from studios and partners the Installer directly introduced
• Level 2: €30 per roll - from studios one level below
• Level 3: €15 per roll - from studios two levels below

Scout commissions are earned for life on qualifying purchases by studios in the Installer's referral network, as long as this Agreement remains in force and has not been breached. All Scout commission conditions - including special pricing adjustments, clawback, minimum withdrawal, and payout - are governed by the Nexthor Compensation Plan, which forms part of this Agreement by reference.

Scout non-solicitation

During the term of this Agreement and for 6 months following its termination for any reason, the Installer agrees not to solicit any studio it directly introduced to Nexthor (Level 1 introductions) to purchase PPF from a competing supplier, and not to solicit any Nexthor partner to leave the network. The Installer is not subject to a full non-compete restriction and remains free to purchase PPF from any supplier.

Blue-pencil clause: If any court finds this non-solicitation clause unenforceable as drafted, the clause shall be automatically reduced to the minimum duration or scope that the court finds enforceable, rather than being void in its entirety. The Parties expressly authorize such reduction.

If this non-solicitation obligation is breached, all Scout commission entitlements terminate immediately. Nexthor reserves the right to seek damages for losses caused by the breach.

Opting out of Scout rights

The Installer may opt out of Scout program rights at any time by providing written notice to Nexthor at info@nexthorppf.com. From the opt-out date: the Scout commission entitlement for new introductions is removed, and no further Scout commissions accrue on introductions made after the opt-out date. Installer Club benefits (cashback, rank, partner pricing) are not affected. Scout commissions earned before the opt-out date continue to be paid in the normal course. However, the Scout non-solicitation obligation in respect of studios the Installer directly introduced before the opt-out date continues to apply for 6 months from the opt-out date. This protects the integrity of introductions already made and prevents the opt-out mechanism from being used to circumvent network protection obligations.

This Agreement is effective from the date of digital acceptance and continues indefinitely until terminated by either Party.

Termination by the Installer - voluntary

The Installer may terminate this Agreement at any time by providing written notice to Nexthor at info@nexthorppf.com. No minimum notice period is required.

Termination by the Installer - for cause

The Installer may terminate this Agreement immediately and without notice if Nexthor fails to pay any cashback or Scout commission due for more than 60 days after written notice requesting payment, or if Nexthor becomes insolvent or permanently ceases business operations. In such case, the Scout non-solicitation period is reduced to 3 months.

Termination by Nexthor - with notice

Nexthor may terminate this Agreement with 14 days written notice for reasons that do not constitute a serious or immediate violation, including persistent non-compliance with Policies after formal warning, or conduct that is damaging but not immediately serious.

Termination by Nexthor - immediate

Nexthor may terminate this Agreement immediately and without prior notice for any of the grounds listed in the Conflict Resolution & Enforcement Policy under "Immediate termination", including fraud, material or systematic disclosure of confidential partner pricing, falsification of records, bribery, serious GDPR breach, or deliberate brand damage.

Outstanding orders

Orders placed before termination that have been paid in full and are in production or dispatched continue to be fulfilled at the agreed price. Orders with partial payment at the time of termination are reviewed case by case - Nexthor will either complete fulfilment upon receipt of the outstanding balance or refund the partial payment at its discretion. Orders placed but not yet paid at the time of termination are cancelled with no further obligation on either Party.

Effect of termination on benefits

• Cashback: Final cashback (60 days after qualifying purchase, no fraud) is paid in the normal course. Pending cashback is forfeited upon termination for cause; upon voluntary termination it continues through the clawback window. The minimum withdrawal threshold is waived for the final settlement.
• Scout commissions: Upon voluntary termination without breach, Level 1 Scout commissions from directly introduced studios continue to be paid for as long as those studios remain active Nexthor customers. Level 2 and Level 3 Scout commissions terminate on the exit date. Upon termination for cause by Nexthor (immediate), Scout commissions directly connected to the breach are forfeited; others are reviewed in good faith.
• Rank and milestone history: Retained in Nexthor's records. Reinstatement upon re-admission is at Nexthor's sole discretion.
• Authorized designation: Lapses immediately upon termination.

Neither Party is liable for failure or delay in performing their obligations under this Agreement where such failure or delay is caused by events beyond their reasonable control, including but not limited to: war, armed conflict, pandemic, natural disaster, government action, regulatory change, or sustained infrastructure outage.

The affected Party must notify the other Party as soon as reasonably practicable. Both Parties agree to cooperate in good faith to mitigate the impact. If a force majeure event prevents material performance for more than 90 days, either Party may terminate in writing without penalty. Final cashback and Scout commissions (clawback window passed) are paid in the normal course. Outstanding paid orders are fulfilled where possible.

The Installer acknowledges and accepts the following rights reserved by Nexthor, exercisable at Nexthor's sole discretion:

• To approve or decline any Installer Club application without providing a reason.
• To adjust partner pricing, cashback rates, rank thresholds, and rank benefits in accordance with the Installer Club & Rewards Policy's notice requirements.
• To offer special pricing to any Installer without obligation to offer the same terms to others.
• To suspend cashback and Scout commission payments during an active investigation of a potential violation.
• To reduce or withdraw an Installer's rank in accordance with the Activity & Lifecycle Policy.
• To withdraw the Authorized Installer designation where installation standards or policy compliance falls below the expected level.
• To modify any Policy referenced in this Agreement, with notice as required by that Policy, without requiring an amendment to this Agreement.
• To terminate this Agreement in accordance with Section 9.

Nexthor's failure to exercise any right at any time does not constitute a waiver of that right. A waiver of one breach does not constitute a waiver of any subsequent or different breach.

The following Nexthor Policies form an integral part of this Agreement and are binding on the Installer from the date of signing. The Installer confirms they have read and understood each of these documents before accepting this Agreement:

• Installer Club & Rewards Policy - ranks, cashback, milestone rewards, partner pricing
• Nexthor Compensation Plan - Scout commission rates, special pricing, payouts, clawback
• Activity & Lifecycle Policy - rank management, account status, termination effects
• Code of Conduct - professional and ethical standards
• Brand & Marketing Guidelines Policy - permitted and prohibited brand use
• Training & Certification Framework - Authorized Installer designation, training program
• Conflict Resolution & Enforcement Policy - disputes, violations, enforcement

Nexthor may update any of these Policies from time to time in accordance with the notice requirements stated in each Policy. Policy updates do not require an amendment to this Agreement. The Installer's continued participation following a Policy update constitutes acceptance of the updated Policy.

Governing law. This Agreement is governed by the laws of the Slovak Republic. Mandatory provisions of EU law and the mandatory consumer or commercial protection provisions of the Installer's country of residence continue to apply to the extent required by applicable law.

Dispute resolution process. Any dispute arising from or related to this Agreement must first be submitted to Nexthor's internal dispute resolution process as described in the Conflict Resolution & Enforcement Policy. The Installer agrees not to initiate court proceedings before completing the internal process, except where urgent injunctive or interim relief is required. If the internal process does not resolve the dispute within 30 days of submission, either Party may refer the matter to the competent courts of the Slovak Republic.

Language. This Agreement is in English. In the event of any conflict between this version and any translation, the English version prevails.

Entire agreement. This Agreement, together with the Policies listed in Section 12, constitutes the entire agreement between the Parties regarding the Installer Club membership and supersedes all prior discussions, representations, and agreements on this subject matter.

Severability. If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions continue in full force and effect. Where a provision contains an explicit blue-pencil clause (such as the Scout non-solicitation in Section 8), that reduction mechanism applies in addition to severability.

Amendment. This Agreement may only be amended by a written document signed by both Parties. Policy updates by Nexthor do not constitute an amendment to this Agreement.

No waiver. Nexthor's failure or delay in exercising any right under this Agreement does not constitute a waiver of that right. A waiver of one breach does not constitute a waiver of any subsequent or different breach.

By digitally accepting this Agreement, the Installer confirms that:

1. They have read and understood this Agreement in full.
2. They have read and understood all Nexthor Policies listed in Section 12.
3. They accept all terms and conditions set out in this Agreement and the incorporated Policies.
4. They are legally authorized to enter into this Agreement on behalf of their registered business entity, and have authority to bind all individuals and entities operating under the Installer's business registration. All such individuals are subject to the same standards of conduct under this Agreement.
5. All information provided to Nexthor in connection with this Agreement and the Installer Club application is accurate and complete.
6. They are acting in a business capacity and not as a consumer, and acknowledge that consumer withdrawal rights under EU Consumer Rights Directive 2011/83/EU do not apply to purchases made under this Agreement.
7. They are not listed on any EU or UN sanctions list and confirm compliance with applicable anti-bribery and anti-corruption laws.
8. They understand that partner pricing is strictly confidential and may not be disclosed to any third party.
9. They understand that Scout program rights are granted automatically under this Agreement and are subject to the conditions in the Compensation Plan, and that they may opt out of Scout rights at any time by written notice to Nexthor.

Digital acceptance - whether by electronic signature, confirmed checkbox, or written email confirmation - constitutes a legally binding acceptance of this Agreement. Nexthor maintains a consent log recording the acceptance event. Upon written request, the Installer may obtain a copy of their consent log entry including the agreement version, timestamp, and method of acceptance.
