References to "Nexthor", "we", "us", or "our" in these Terms refer to Digital Bug s.r.o. References to "you", "your", or "customer" refer to any person visiting the website, placing an order, or applying to our B2B partner programs.

By accessing this website, placing an order, creating an account, or applying to one of our B2B partner programs, you confirm that you have read, understood, and agree to be bound by:

• Our Privacy Policy
• Our Refund Policy
• Our Shipping Policy
• Any program-specific Agreement (Installer Club, Pilot, Scout, Starter Pack) if you apply to a partner program

If you do not agree to these Terms, do not use the website or place orders.

To use this website and place orders, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By using the Services, you confirm that:

• You are at least 18 years old.
• You have the legal authority to enter into this agreement.
• You will provide accurate and truthful information.
• You will use the Services only for lawful purposes.

B2B partner programs are intended for legitimate businesses with valid business registration. Individuals or businesses providing false information may be rejected or removed from partner programs.

We sell paint protection film (PPF) products and related accessories. Each product is described on the relevant product page with specifications, dimensions, and price.

Custom-Made Products. All PPF rolls and pre-cut kits are produced on demand based on your selected specifications. Once production begins, the order is final (see Refund Policy).

Pricing. All prices are displayed in the currency selected at checkout (EUR by default), inclusive of VAT for EU customers where applicable. Prices may change without prior notice. The price that applies to your order is the price displayed at the time of checkout confirmation.

Errors. If we discover a pricing or product description error on the website, we reserve the right to cancel the affected order with a full refund. We will notify you by email if this occurs.

Availability. Listing a product on the website does not guarantee availability. If a product becomes unavailable after order placement, we will notify you and offer a refund or alternative.

When you place an order:

• You make an offer to purchase the listed products at the displayed price.
• We confirm acceptance of your offer by sending an order confirmation email.
• The contract between you and Nexthor is formed when we send the order confirmation.
• We reserve the right to refuse or cancel any order at our sole discretion (fraud prevention, stock issues, pricing errors, suspected misuse).

Payment. Payment is processed by our payment providers (Shopify Payments, Stripe, PayPal, or others). We accept payment methods displayed at checkout. Payment must be received in full before production begins.

Invoicing. An electronic invoice will be issued and emailed to you in compliance with Slovak Accounting Act No. 431/2002 Coll.

Shipping terms, processing times, costs, and carrier information are described in our Shipping Policy.

Risk of loss and damage transfers to you upon delivery to the carrier. Once the package is handed to the carrier, transit delays or carrier mishandling are not within our control. However, we will assist with claims for damaged or lost shipments as described in our Refund Policy.

Returns, refunds, order cancellations, and warranty claims are governed by our Refund Policy.

Key points:

• PPF products are custom-made and the standard 14-day right of withdrawal under EU Consumer Rights Directive does not apply once production has started (Article 16(c)).
• You may cancel an order before production begins (typically within 24 hours on business days).
• Damaged, lost, defective, or incorrectly delivered orders qualify for refund or replacement.
• Manufacturing defects are covered under our warranty terms.

If you apply to or participate in one of our partner programs (Installer Club, Pilot, Scout, Starter Pack), additional terms apply through the relevant Partner Agreement:

• Installer Club Agreement for PPF installation studios.
• Pilot Agreement for trained sales partners.
• Scout Agreement for referral partners.

Each Partner Agreement supplements (and where stated, modifies) these Terms of Service. In case of conflict between these Terms and a Partner Agreement, the Partner Agreement controls for matters within its scope.

Partner programs are subject to ongoing Policies (Compensation Plan, Installer Club Rewards Policy, Code of Conduct, Brand Guidelines, and others) that may be updated by Nexthor with reasonable notice. Continued participation constitutes acceptance of the current versions.

You may create a customer account to place orders, track shipments, and manage your information. By creating an account:

• You agree to provide accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities under your account.
• You agree to notify us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are otherwise misused.

All content on this website — including the Nexthor™ trademark, logo, product photography, copywriting, design, code, and any other intellectual property — is owned by Digital Bug s.r.o. or licensed to us, and is protected by applicable copyright, trademark, and intellectual property laws.

You may not:

• Copy, reproduce, distribute, or republish content from this website without our prior written consent.
• Use the Nexthor™ trademark or logo without written permission.
• Scrape, mine, or extract data from this website by automated means.
• Reverse-engineer, decompile, or otherwise attempt to obtain the source code of any part of the Services.

B2B partners receive limited rights to use the Nexthor brand assets under separate Brand Guidelines.

You agree not to use the Services for any unlawful, harmful, or prohibited purpose. Specifically, you will not:

• Violate any applicable law or regulation.
• Infringe the intellectual property or other rights of any third party.
• Submit false, misleading, or deceptive information.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Introduce viruses, malware, or other malicious code.
• Use the Services to engage in fraud, money laundering, or other criminal activity.
• Resell our products without authorization (B2B partners only with explicit written permission).
• Misrepresent your identity or business in B2B partner applications.

Violations may result in account suspension, order cancellation, removal from partner programs, and legal action.

To the maximum extent permitted by applicable law, the Services and products are provided "as is" and "as available" without warranties of any kind beyond those expressly stated in our published warranty terms.

We do not warrant that:

• The website will be uninterrupted, error-free, or completely secure.
• The information on the website is always accurate, complete, or up to date.
• The Services will meet your specific requirements.

This disclaimer does not affect any mandatory statutory warranties (e.g. manufacturing defects under Slovak Civil Code, EU consumer rights) that apply by law.

To the maximum extent permitted by applicable law:

• Nexthor is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Services or our products.
• Our total liability for any claim related to the Services or a product is limited to the amount you paid for the specific order giving rise to the claim.
• We are not liable for damages resulting from improper installation, misuse, or modification of our products by you or third parties.
• We are not liable for delays or failures caused by events beyond our reasonable control (force majeure, courier delays, customs delays, natural disasters, war, pandemics, government restrictions).

Nothing in these Terms limits our liability for fraud, gross negligence, or any other liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless Digital Bug s.r.o., its directors, employees, contractors, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms.
• Your violation of any law or regulation.
• Your infringement of any third-party rights.
• Your misuse of our products, including improper installation or modification.
• Your misrepresentation in a B2B partner application or program activity.

Our Services rely on third-party providers (Shopify, Klaviyo, Google, Meta, payment processors, shipping carriers, and others). We are not responsible for:

• The performance, availability, or accuracy of third-party services.
• Privacy practices of third-party websites linked from our store.
• Disruptions caused by third-party outages.

Third-party services are governed by their own terms and privacy policies. We disclose third-party data sharing in our Privacy Policy.

We may update these Terms of Service from time to time. When we make material changes:

• We will post the revised Terms on this website with an updated "Effective from" date.
• We will notify registered customers and active B2B partners by email at least 30 days before the changes take effect.
• Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Services.

These Terms of Service and any related disputes are governed by the laws of the Slovak Republic, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms or the Services that cannot be resolved by negotiation will be submitted to the exclusive jurisdiction of the courts of the Slovak Republic, with the competent court determined by Slovak law (typically the District Court covering Poprad).

This does not affect mandatory consumer protection rights that apply in your country of residence under applicable EU law.

Before initiating legal proceedings, we encourage you to contact us to resolve disputes informally at info@nexthorppf.com.

If informal resolution is not possible:

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent.

Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Entire Agreement. These Terms of Service, together with our Privacy Policy, Refund Policy, Shipping Policy, and any applicable Partner Agreement and supplementary Policies, constitute the entire agreement between you and Nexthor regarding the Services and supersede all prior agreements and understandings.
